AIA Cater — A Brand of AIA Technology, Inc.

Welcome to AIA Cater. These Terms and Conditions ("Terms") govern your access to and use of the AIA Cater platform, website, mobile application, and related services (collectively, the "Service") operated by AIA Technology, Inc. ("AIA Technology," "we," "us," or "our"). AIA Cater is a registered brand and trade name of AIA Technology, Inc., a corporation organized under the laws of the State of Florida.

By accessing or using the Service, placing an order, creating an account, or otherwise engaging with AIA Cater, you ("Customer," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Service Description

AIA Cater operates as an AI-powered catering marketplace and ordering platform. We act as an intermediary between customers seeking catering services and third-party restaurant partners ("Vendors"). AIA Cater facilitates the ordering, coordination, and delivery of catering meals from Vendors to your designated delivery location.

1.1 Marketplace Model. AIA Cater is not a restaurant or food preparation facility. We do not prepare, cook, or manufacture any food items. All food is prepared by independent third-party Vendors. AIA Cater serves as the technology platform that connects you with Vendors, processes your order, and coordinates delivery through our affiliated logistics network.

1.2 AI-Powered Ordering. Our platform utilizes artificial intelligence to assist with order placement, menu recommendations, and service optimization. By using the Service, you acknowledge and consent to the use of AI technology in processing and fulfilling your orders.

1.3 No Partnership or Affiliation. AIA Cater is an independent marketplace platform. AIA Technology, Inc. does not have any partnership, joint venture, franchise, agency, or affiliation relationship with any restaurant, caterer, or food service provider ("Vendor") listed on or accessible through the platform. The presence of a Vendor's menu, name, logo, or products on the AIA Cater platform does not imply any endorsement, sponsorship, partnership, or formal business relationship between AIA Technology, Inc. and such Vendor. Vendors are independent third parties, and AIA Cater acts solely as an intermediary facilitating the ordering and delivery process.

1.4 Independent Pricing. Prices displayed on the AIA Cater platform are set independently by AIA Technology, Inc. and may differ from prices offered directly by Vendors at their own establishments, websites, or through other ordering channels. AIA Cater's prices reflect the total cost of the catering experience provided through our platform, including food procurement, service coordination, AI-powered ordering assistance, and platform access. Customers acknowledge and agree that AIA Cater's pricing is independent and not representative of the Vendor's own retail or catering pricing. Any price comparison between AIA Cater and a Vendor's direct pricing is the sole responsibility of the customer.

2. Account Registration and Verification

2.1 Account Creation. To place orders through AIA Cater, you may be required to create an account and provide accurate, current, and complete information, including your name, email address, phone number, and delivery address(es).

2.2 Phone Verification. For the security and privacy of our customers, AIA Technology verifies customer identity through a verification code sent to the phone number associated with your account. You agree to receive such verification codes via SMS or other electronic means. Standard messaging rates may apply.

2.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify AIA Cater immediately of any unauthorized use of your account.

3. Ordering and Pricing

3.1 Order Placement. Orders may be placed through the AIA Cater platform via text message, web application, mobile application, or other methods made available by us. All orders are subject to acceptance by both AIA Cater and the applicable Vendor.

3.2 Pricing. All prices displayed on the AIA Cater platform represent the total per-person or per-item cost for the selected catering option as determined by AIA Cater. These prices are set independently by AIA Technology, Inc. and may differ from prices charged by Vendors directly. AIA Cater's pricing includes the cost of food, service coordination, and platform fees. Delivery fees are calculated separately and displayed at checkout. Prices are subject to change without notice. Applicable taxes will be added to the order total.

3.3 Payment. Payment is due at the time of order placement unless otherwise agreed upon in writing. We accept major credit cards, debit cards, and other payment methods as displayed on the platform. By providing payment information, you represent that you are authorized to use the payment method.

3.4 Corporate and Recurring Orders. For corporate accounts and recurring orders, AIA Cater may offer invoicing, credit terms, or other payment arrangements at our sole discretion. Such arrangements will be governed by a separate written agreement.

4. Delivery

4.1 Delivery Services. AIA Cater coordinates delivery through our affiliated delivery network. Delivery times are estimated and not guaranteed. We will make reasonable efforts to deliver orders within the estimated delivery window.

4.2 Signature at Delivery. Our delivery drivers may request a signature or acknowledgment of receipt at the time of delivery. By placing an order, you authorize a representative at the delivery location to sign for and accept the delivery on your behalf. The signature serves as confirmation that the order was received in satisfactory condition.

4.3 Delivery Location. You are responsible for providing accurate and complete delivery instructions, including building name, suite or floor number, and any access codes or special instructions necessary for the driver to complete delivery. AIA Cater is not responsible for failed deliveries resulting from inaccurate delivery information.

4.4 Minimum Order Requirements. Certain Vendors or delivery zones may require minimum order amounts. Any applicable minimums will be displayed during the ordering process.

5. Cancellations and Refunds

5.1 Cancellation Policy. Orders may be cancelled without charge if the cancellation is submitted at least 24 hours before the scheduled delivery time. Cancellations made less than 24 hours before delivery may be subject to a cancellation fee of up to the full order amount, depending on whether the Vendor has already begun preparation.

5.2 Refund Requests. All refund requests must be submitted via email to refund@aiacater.com within 48 hours of the delivery date. Refund requests must include your order number, the reason for the request, and any supporting documentation (such as photographs of the delivered items). AIA Cater will review all refund requests and respond within 5 business days.

5.3 Refund Eligibility. Refunds may be issued at AIA Cater's sole discretion for issues including but not limited to: incorrect items delivered, food quality concerns, significant delivery delays, or missing items. Refunds will be processed to the original payment method.

5.4 Non-Refundable Charges. Delivery fees and service fees are generally non-refundable unless the delivery failure was caused by AIA Cater or its delivery network.

6. Communications and Marketing Consent

6.1 Transactional Communications. By placing an order or creating an account with AIA Cater, you expressly authorize AIA Technology, Inc. to send you emails, text messages (SMS/MMS), push notifications, and other electronic communications related to your orders, including but not limited to: order confirmations, delivery updates and tracking information, estimated time of arrival notifications, payment receipts and invoices, and customer service communications.

6.2 Marketing Communications. By using the Service, you consent to receive promotional and marketing communications from AIA Technology, Inc. regarding special offers, new menu items, rewards programs, surveys, and other information we believe may be of interest to you. You may opt out of marketing communications at any time by replying "STOP" to any text message, clicking the "unsubscribe" link in any email, or contacting us at info@aiacater.com with the subject line "Unsubscribe." Opting out of marketing communications will not affect transactional communications related to your orders.

6.3 Consent Scope. Your consent to receive communications extends to all brands, services, and affiliates operated by AIA Technology, Inc. Message and data rates may apply. Message frequency varies.

7. AI Learning, Personalization, and Memories

7.1 AI Memories. AIA Cater utilizes artificial intelligence that creates and maintains "memories" based on your interactions with the Service. These memories may include your ordering preferences, dietary restrictions, preferred cuisines, delivery patterns, budget preferences, and other behavioral data that helps us personalize your experience.

7.2 Training and Improvement. You acknowledge and agree that data derived from your use of the Service, including order history, preferences, feedback, and interaction patterns, may be used to train, improve, and enhance the AIA artificial intelligence system and the Service generally. This data may be used in an aggregated and/or anonymized form.

7.3 Personalized Recommendations. Based on the memories and data collected, AIA Cater may provide personalized menu recommendations, suggest optimal order times, recommend portion sizes, and tailor other aspects of the Service to your preferences. You may request deletion of your AI memories at any time by contacting customer support.

8. Reviews, Feedback, and User Content

8.1 License Grant. By submitting reviews, ratings, comments, messages, photographs, or any other content ("User Content") through the Service, you grant AIA Technology, Inc. a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and perform such User Content in any media or format, whether now known or hereafter developed.

8.2 Promotional Use. Without limiting the foregoing, you specifically agree that your reviews, ratings, testimonials, and feedback messages may be used by AIA Technology, Inc. for promotional purposes, advertising, marketing materials, social media content, website displays, and other commercial purposes, with or without attribution to you. AIA Cater may edit User Content for clarity, length, or format while preserving the substantive meaning.

8.3 Representations. You represent and warrant that you own or have the necessary rights to submit User Content and that such content does not violate any third-party rights, including intellectual property rights or privacy rights.

9. Rewards and Loyalty Program

9.1 Program Description. AIA Cater may offer rewards, loyalty programs, promotional credits, gift cards, or other incentives ("Rewards") to customers from time to time. The specific terms, eligibility requirements, earning rates, and redemption methods for any Rewards program will be communicated separately.

9.2 Modifications. AIA Cater reserves the right to modify, suspend, or terminate any Rewards program at any time, with or without notice. Rewards have no cash value unless otherwise stated and may not be transferred, sold, or exchanged.

10. Limitation of Liability

10.1 Food Quality. Because AIA Cater does not prepare food, we are not liable for the quality, safety, or condition of food items prepared by Vendors. However, we will work diligently to resolve any quality issues and may issue refunds or credits at our discretion.

10.2 Allergens and Dietary Restrictions. While AIA Cater will make reasonable efforts to communicate dietary restrictions and allergen information to Vendors, we cannot guarantee that food items will be free from allergens or meet specific dietary requirements. Customers with severe allergies should contact the Vendor directly through AIA Cater customer support before placing an order.

10.3 Maximum Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIA TECHNOLOGY, INC.'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

10.4 Disclaimer. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." AIA TECHNOLOGY, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless AIA Technology, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service, your violation of these Terms, your violation of any rights of any third party, or any User Content you submit.

12. Intellectual Property

The AIA Cater name, AIA Technology name, logos, trademarks, and all related intellectual property are the exclusive property of AIA Technology, Inc. All content on the platform, including but not limited to text, graphics, software, and AI technology, is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content on the platform without prior written consent from AIA Technology, Inc.

13. Governing Law and Dispute Resolution

13.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

13.2 Jurisdiction. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Florida. You consent to the personal jurisdiction of such courts.

13.3 Informal Resolution. Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting AIA Cater at info@aiacater.com. We will attempt to resolve the dispute within 30 days.

14. Modifications to Terms

AIA Technology, Inc. reserves the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on the AIA Cater platform. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. Material changes will be communicated via email or through the Service.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and AIA Technology, Inc. regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
